项目摘要

The new round of mixed ownership reform will reshape the pattern of China’s economic interests. Studying the behavioral benefit-game between state-owned capital and non-state-owned capital, clarifying the behavioral approaches of different capitals, are helpful for solving the problem of interests game of heterogeneous capital in the mixed ownership reform. From the perspective of shareholder's equity protection, this project combines cooperative game and matching theory and market design with state-owned enterprise reform practice on the basis of the constraint of cost of capital. The project also builds bilateral match decision model of state and non-state shareholders by delayed acceptance algorithm(GS algorithm), which is helpful for realizing the goal of state-owned enterprises to optimize the ownership structure and maximize the value of mixed ownership enterprises. The project intends to unfold research from five aspects: (1) the relationship between the protection of non-state shareholders and the reform of mixed ownership; (2) the constraint of the cost of capital; (3)market design based on bilateral match of state-owned and non-state-owned shareholders; (4)empirical research; (5)policy recommendations. The project is of great theoretical significance for revealing the restraint mechanism of shareholders’ interest protection and clarifying the bilateral investment relationship between state-owned enterprises and non-state-owned shareholders and optimizing their own utility. The computer prototype system has significant practical application value which can realize the mutual investment of state-owned enterprises and non-state-owned shareholders.

新一轮的混合所有制改革将重塑我国经济利益格局。深度解析国有资本与非国有资本的行为博弈过程，厘清二者在微观层面上的行为进路，有助于解决混合所有制改革异质性资本利益博弈的难题。本项目从非国有股东利益保护的视角，以资本成本为基准，将合作博弈、匹配理论和市场设计与国有企业改革实践相结合，采用延迟接受算法（GS算法）构建国有企业与非国有股东双向选择的双边匹配决策模型，实现国有企业引入非国有资本优化股权结构并最大化混合所有制企业价值的目标。本项目拟从五个方面展开研究：（1）混合所有制改革背景下非国有股东利益保护研究；（2）资本成本约束；（3）国有企业与非国有股东双边匹配市场设计；（4）实证研究；（5）政策建议。本项目对揭示股东利益保护的约束机制、明确国有和非国有资本双向投资关系及最优化自身效用等问题具有重要的理论意义；拟构建的计算机原型系统能够实现国有企业与非国有股东投资互选，具有重要的实践运用价值。

结项摘要

混合所有制改革是当前国有企业改革和发展的重要方式。国有企业在引入非国有资本的过程中由于异质资本利益博弈而存在难以有效融合的难题，本项目关注国有企业在引入非国有资本的初始阶段，旨在有效引导非国有资本参与国有企业改革，提升国有资本和非国有资本的匹配效率。本项目基于我国上市公司的实际数据及现实情况，综合利用双边匹配模型设计、OLS回归模型、门槛模型、TOPSIS模型等分析方法，解决了国有企业在引入非国有资本过程中的三个关键问题：（1）资本成本约束；（2）异质资本双向投资评价指标体系；（3）异质资本双边匹配决策支持系统设计。由此，取得了一系列理论研究和政策研究成果。重要进展包括：（1）完成了资本成本估算及影响因素的研究；（2）建立了国有企业与非国有企业双边匹配模型；（3）建立了国有企业与非国有企业双边匹配的计算机原型系统；（4）丰富了国有企业公司治理环境和公司治理质量问题的研究；（5）进一步完善了资本成本理论、股东利益保护理论、企业价值创造理论；（6）推动了合作博弈和市场设计与国企改革领域交叉融合的理论发展。本项目的研究对丰富我国国有企业混合所有制改革的理论具有重要的科学意义，同时也为我国政府及相关监管部分对国有企业发展制定相关政策提供了决策依据。
