基于创新网络的制造业技术获取型海外并购整合与产业技术创新研究：资源配置的视角

Compared with world’s leading level, Chinese manufacturing is still facing with the phenomenon of big but not strong..How to use technology-sourcing overseas post-merger integration as an effective tool to improve industrial technology innovation in Chinese manufacturing industry is an important reality issue that must be highly concerned. Different from existing studies that focus on overseas post-merger integration on micro-level’s firm innovation and macro-level’s M&As’ technology spillover effect in home country, this project studies how optimal post-merger integration influence industrial–level innovation performance within resource orchestration logic through resource structuring, bundling integration and resource leveraging. We study how oversea technology post-merger integration improves industrial-level innovation performance by innovation networks under firm-level, cross-level, industrial-level and international comparation level. We show how overseas post-merger integration influence industrial innovation network dynamics and the mechanism of overseas post-merger integration on industrial-level technology innovation based on innovation network perspective. Moreover, we use international comparative analysis to show the moderating effect of institutional environment which influences the mechanism of post-merger integration and industrial technology innovation. We demonstrate our hypotheses with sequential global game, dynamic multi agent simulation, network analysis, multiple-group structural equation modeling, multi-case longitudinal comparative case study. The research combines network dynamics with post-merger integration and would improve the understanding of the mechanism of post-merger integration on industrial-level innovation performance. It shows technology sourcing overseas post-merger integration has great significance in promoting Chinese manufacturing industry’s status in global innovation network as well as the transition from “Made in China” to “Created in China”.

相比世界先进水平，中国制造业仍面临大而不强的现状。如何通过技术获取型海外并购整合提升中国制造业产业技术创新成为高度关注的理论与现实问题。通过技术获取型海外并购嵌入全球创新网络是突破中国企业能力瓶颈、提高我国产业全球价值链地位和产业技术创新的有效途径,而并购整合是其中关键。与现有文献仅关注微观层面海外并购整合对并购方技术创新影响不同，本项目从资源配置视角切入，从资源识别、整合、应用创新三维度，利用企业层次—跨层次—产业层次—全球网络分析，探讨基于创新网络的制造业技术获取型海外并购整合对产业技术创新的理论机理、动态演化与传导机制，并借助制度视角国际比较探讨制度环境对传导机制的调节作用。通过全局博弈、多主体仿真、网络分析、多群组结构方程、聚类分析、纵向多案例国际比较检验理论,推进基于创新网络的制造业技术获取型海外并购整合与产业技术创新的理论,在推动“中国制造”向“中国创造”转型方面具有重要意义。
